Terms and Conditions

These Terms of Use govern access to and use of THG Society Platform (the “Platform”) made available by The Hut.com Limited (“THG” or “we”) to individuals who agree to the terms below. These Terms are legally binding on any individual user of the Platform (“Influencer”, “you”, “your”).

  1. Access

    1. To access the Platform, you must register on to the Platform by completing the registration form. By completing the registration form and accepting these Terms, you agree to be bound by these Terms including any additional terms and conditions referenced herein and/or available by hyperlink.
    2. You must be aged 18 or over to register on to the Platform as an Influencer.
    3. You must have a bank account. We reserve the right to verify an Influencer’s personal data.
    4. You will gain access to the Platform once you have completed the registration form and clicked “Register”. The profile page for registered members of the Platform (“Profile”) will provide you with an overview of your profile on the Platform and the THG programmes that THG may invite you to participate in from time to time. You are not entitled to be invited to a THG programme; nor can you derive any claims from not being invited to a THG programme.
    5. Using the Profile, you can review and alter your profile information.

  2. Participation in THG programmes

    1. If you would like to participate in a THG programme, you must accept the programme’s agreement (“Programme Term(s)”) that describes certain deliverables, including any fees to be paid to you for such deliverables, if any, and the period in which you have committed to perform the deliverables, if any.
    2. These Terms are incorporated into any Programme Terms. In the event of any conflict between these Terms and the terms of any applicable Programme Terms, the terms of the Programme Terms will prevail. These Terms and any applicable Programme Terms are collectively referred to herein as this “Agreement.” These Terms apply whether or not an Influencer has entered into a Programme Term.

  3. Registration

    1. You warrant that the details provided in the registration form are correct and complete. Should the details provided in the registration form change at any time after registration, you must change the details stored on the Platform
    2. You undertake to keep the login details selected at registration (e-mail address and password) confidential, not communicate such login details to third parties and keep such login details away from third parties. No third party must be enabled to use the login details. Influencers who have reason to believe that third parties have become aware of their login details must inform THG without delay in writing or by email sent to thg.society@thehutgroup.com.

  4. Fees and Payment

    1. You may receive performance related remuneration or fees in accordance with the Programme Terms (“Fees”).
    2. The amount of Fees you may receive will be set out in the Programme Terms.
    3. The Programme Terms can be viewed in the ‘programme details’ in your Profile.
    4. Any Fees due to you will be paid in to your ‘Wallet’ in your Profile (“Wallet”) in accordance with the Programme Terms. No interest will be paid on the balance in the Wallet.
    5. You must have a minimum balance in your Wallet before you can withdraw funds to the bank account you have specified in your Profile.
    6. The minimum balance will depend on the currency you have selected for your Wallet.
    7. The minimum balance for the currencies you can withdraw funds in can be found here.
    8. If you withdraw funds in a currency which is different to the currency applied to your Wallet, a processing charge will be deducted from the Fees paid.
    9. Once you have withdrawn funds, the Fees are typically paid into the bank account you have specified in your Profile within 72 hours.

  5. Third Party Platforms

    1. The Platform may link to third party platforms which are not maintained by, or related to THG such as Facebook or Instagram (“Third Party Platform”). THG does not have any control over these Third Party Platforms or their content.
    2. To take part in a THG programme you will need to link or connect your social media account on a Third Party Platform to the Platform (“Link”).
    3. You may Link to the Platform, provided:
      1. you do so in a way that is legal and does not damage our reputation or take advantage of it;
      2. you do not do so in such a way to suggest that we endorse, approve or are associated with the Third Party Platform;
      3. you do not frame the Platform on any other website, nor may you create a link to any part of our Platform other than as permitted under these Terms.
    4. Links to any Third Party Platforms are accessed at your own risk and THG makes no representation or warranties about the content, completeness or accuracy of any Third Party Platforms linked to or from the Platform.
    5. You warrant that you have read and agree to be bound by all applicable terms of use and policies for any Third Party Platforms. You acknowledge and agree that:
      1. THG has no responsibility or liability with respect to any Third Party Platforms; and
      2. you are solely responsible for your interactions with any Third Party Platform.
    6. We reserve the right to withdraw your right to Link to the Platform without notice.
    7. Establishing a Link to a Third Party Platform will provide THG with tracking data and all details of your social media account.

  6. Personal information

    1. We will treat your personal information as confidential and will only use it in accordance with our Privacy Policy. In addition, we will process information about you in accordance with our Privacy Policy. By using the Platform, you consent to such processing and you warrant that all data provided by you is accurate. To view our Privacy Policy, please go to our privacy policy page

  7. Termination and Suspension

    1. Notwithstanding anything included in the Programme Terms, THG, at its sole discretion, may suspend, terminate or prevent your access to the Platform and your Profile immediately without liability to you. Where we suspend, terminate or prevent your access to the Platform and/or the Profile, you must not attempt to re-register on to the Platform or submit any content or material on to the Platform without our prior written consent.

  8. Intellectual Property Rights

    1. The content on the Platform is protected by copyright, trade marks, data base and other intellectual property rights and you acknowledge that the material and content supplied as part of the Platform shall remain with us and our licensors.
    2. You may retrieve and display the content of the Platform on a computer screen, store such content in electronic form on disk (but not any server or other storage device connected to a network) or print one copy of such content for your own personal, non-commercial use, provided you keep intact all and any copyright and proprietary notices. You may not otherwise reproduce, modify, copy or distribute or use for commercial purposes any of the materials or content on the Platform.

  9. Compliance

    1. You must comply with all applicable laws, statues and regulations in connection with your use of the Platform.
    2. You must not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Platform.
    3. You must not:
      1. upload or transmit through the Platform any computer viruses, Trojans, worms, logic bombs or anything else designed to interfere with, interrupt or disrupt the normal operating procedures of the Platform;
      2. upload or transmit through the Platform any material which is defamatory, offensive or of an obscene character;
      3. attempt to gain unauthorised access to the Platform, the server on which the Platform is stored, or any server, computer or database connected to the Platform. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack.
    4. We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Platform or to your downloading of any material posted on the Platform, or any third party platform linked to it.

  10. Limitation of Liability

    1. We do not exclude or limit our liability to you where it would be unlawful to do so. This includes liability for:
      1. death or personal injury caused by our negligence;
      2. fraud or fraudulent misrepresentation; or
      3. any other matter that cannot be limited or excluded by law.
    2. We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
      1. use of, or inability to use, the Platform; or
      2. use of or reliance on any content displayed on our Platform.
    3. In particular, we will not be liable for any:
      1. loss of profits;
      2. loss of business;
      3. loss of revenue;
      4. loss of anticipated savings;
      5. loss of business opportunity;
      6. loss of goodwill;
      7. loss of reputation; or
      8. any indirect or consequential loss or damage.
    4. Subject to clause 10.1, 10.2, 10.3 and to the maximum extent permitted by law, our total aggregate liability in contract, tort (including negligence) or otherwise arising, under or in connection with this Agreement shall not exceed the lesser of:
      1. £100k (one hundred thousand pounds); and
      2. the Fees paid to you in the 12 months immediately prior to the liability arising.
    5. We exclude all implied conditions, warranties and representations or other terms that may apply to the Platform, any THG content on it or any products supplied under or in connection with the Programme Terms.

  11. Use of the Platform

    1. The Platform is provided on an 'as is' and 'as available' basis without any representation or endorsement made and THG makes no warranties, whether express or implied, in relation to it and its use.
    2. We do not guarantee that the Platform will be secure or free from bugs or viruses
    3. Whilst we will try to ensure that material included on the Platform is correct, reputable and of high quality, we cannot accept responsibility if this is not the case. We will not be responsible for any errors or omissions or for the results obtained from the use of such information or for any technical problems you may experience with the Platform. If we are informed of any inaccuracies in the material on the Platform, we will attempt to correct this as soon as we reasonably can.

  12. Support

    1. We may provide you with documentation describing the Platform features and other online resources to assist you with your use of the Platform. For the avoidance of doubt, any documentation THG provides is for information purposes only and is not binding on THG.

  13. Maintenance of the Platform

    1. You acknowledge and agree that from time to time you may be unable to access the Platform and we may need to:
      1. fix defects and errors in the Platform;
      2. install updates and undertake general diagnosis and maintenance of the Platform;
      3. undertake emergency maintenance and/or suspend access to the servers of the Platform and that as a result, the Platform may be less accessible or unavailable to you from time to time.

  14. Changes

    1. To the Platform

      THG may make changes to the Platform from time to time. THG shall not be liable to you or any third party for any changes to the Platform.

    2. To the Terms

      If THG makes any material changes to these Terms, THG will post these changes to the terms and conditions page and update the “Last Modified” date.

  15. Miscellaneous

    1. Assignment

      You may not assign or subcontract your rights or obligations under these Terms in whole or in part without our prior written consent. We may assign or subcontract our rights or obligations under these Terms.

    2. Governing Law

      These Terms shall be governed by and construed in accordance with the laws of England and Wales and the parties submit to the exclusive jurisdiction of the English courts.

    3. Independent contractor

      The parties are independent contractors. No joint venture, partnership, employment or agency relationship exists between the Influencer and THG as a result of this Agreement or use of the Platform.

    4. Waiver

      The failure of a party to enforce any right or provision in this Agreement will not constitute a waiver of such right or provision unless in writing. No modification hereof will be effective unless in writing and signed by both parties.

    5. Severability

      If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions of the Terms.

    6. Communication

      THG Society may email you from time to time with promotional content, offers, newsletters, updates, and other marketing information related to our products and services. You may withdraw consent at any time by contacting unsubscribe@thgsociety.com  All content included in our emails, such as text, graphics, logos, images, and software, is the property of THG or its content suppliers and is protected by copyright and other intellectual property laws.  You may not reproduce, distribute, or use any content from our emails without our prior written consent. We reserve the right to terminate or suspend your subscription to our email list at any time, without notice and for any reason. You can unsubscribe from our emails at any time by following the instructions provided in each email.

    7. Entire Agreement

      This Agreement comprises the entire agreement between the Influencer and THG and supersedes all prior agreements, whether written or oral, between the parties regarding its subject matter.
